Terms of Service

Please read these terms carefully before using FamilyPulse.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and FamilyPulse, Inc. ("FamilyPulse," "we," "us," or "our") governing your access to and use of the FamilyPulse mobile application, website, and AI-powered wellness call services (collectively, the "Services").

By creating an account, accessing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Services.

You must be at least 18 years old to use our Services. By using the Services, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into this agreement.

2. Service Description

FamilyPulse provides AI-powered wellness check-in phone calls for elderly individuals and others who may benefit from regular wellness monitoring. Our Services include:

  • Automated Wellness Calls: AI-powered phone calls that conduct friendly, conversational wellness check-ins with your designated care recipients.
  • Call Analysis: AI analysis of calls to detect mood changes, health concerns, and potential safety issues.
  • Alerts & Notifications: Real-time alerts when our AI detects concerns requiring your attention.
  • Call Summaries: Detailed summaries and transcripts of each call.
  • Family Sharing: Ability to share access with other family members or caregivers.
  • Mobile Application: iOS and Android apps for managing settings and viewing call data.

Important: FamilyPulse is not a medical service, emergency response system, or substitute for professional healthcare. Our Services are designed to supplement, not replace, regular communication with and care of your loved ones. In case of emergency, always call 911 or appropriate emergency services.

3. Account Registration

3.1 Account Creation

To use our Services, you must create an account by providing accurate, complete, and current information. You agree to update your information as necessary to keep it accurate.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3.3 Care Recipient Consent

By adding a care recipient to your account, you represent and warrant that you have obtained appropriate consent from that individual (or their legal guardian) to receive calls from FamilyPulse and to share call data with you. You are responsible for ensuring ongoing consent.

3.4 Device Permissions

To provide our full range of services, the FamilyPulse mobile app may request the following device permissions:

  • Push Notifications: To send you real-time alerts about completed calls, detected concerns, and important updates about your care recipients. You can disable notifications in your device settings at any time.
  • Camera Access: To allow you to take profile photos of your care recipients directly within the app. This is optional and used solely for personalizing family member profiles.
  • Photo Library Access: To allow you to select existing photos from your device for care recipient profiles. We do not access or scan other photos in your library.

These permissions are optional and the core calling service will function without them. However, some features may be limited if permissions are not granted.

4. User Obligations

You agree to use the Services responsibly and lawfully. You shall not:

  • Use the Services for any unlawful purpose or in violation of any applicable laws or regulations.
  • Add care recipients to the service without their knowledge or consent.
  • Attempt to access, tamper with, or use non-public areas of our systems.
  • Circumvent, disable, or interfere with security features of the Services.
  • Use the Services to harass, abuse, or harm another person.
  • Impersonate any person or entity or misrepresent your affiliation.
  • Interfere with or disrupt the Services or servers or networks connected to the Services.
  • Attempt to reverse engineer, decompile, or disassemble any portion of the Services.
  • Use any robot, spider, scraper, or other automated means to access the Services.
  • Resell, sublicense, or commercially exploit the Services without our written consent.

5. Subscription & Billing

5.1 Free Trial

New users may be eligible for a free trial period as indicated during signup. After the trial period ends, you will be automatically enrolled in a paid subscription unless you cancel before the trial ends.

5.2 Subscription Plans

FamilyPulse offers various subscription plans as described on our pricing page. Features, call limits, and pricing vary by plan. We reserve the right to modify plan features and pricing with 30 days' notice.

5.3 Billing

Subscriptions are billed in advance on a monthly or annual basis, depending on your selected plan. You authorize us to charge your designated payment method for all applicable fees. Payments are processed securely through Stripe.

5.4 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel auto-renewal at any time through the app or by contacting support.

5.5 Refunds

Subscription fees are generally non-refundable, except as required by law. However, we may offer refunds at our discretion for service issues or dissatisfaction within the first 14 days of a new subscription. Contact support to request a refund.

5.6 Price Changes

We may change subscription prices from time to time. Any price changes will take effect at the start of your next billing cycle, and we will notify you at least 30 days in advance.

6. Intellectual Property

6.1 Our Intellectual Property

The Services, including all content, features, functionality, software, algorithms, AI models, designs, trademarks, and other intellectual property, are owned by FamilyPulse and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without our written permission.

6.2 Your Content

You retain ownership of any content you provide through the Services (such as custom questions). By providing content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and process that content solely to provide and improve the Services.

6.3 Feedback

If you provide feedback, suggestions, or ideas about our Services, you grant us the right to use such feedback without restriction or compensation to you.

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

FAMILYPULSE IS NOT A MEDICAL DEVICE, EMERGENCY RESPONSE SYSTEM, OR SUBSTITUTE FOR PROFESSIONAL MEDICAL CARE. WE DO NOT PROVIDE MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. THE AI ANALYSIS IS FOR INFORMATIONAL PURPOSES ONLY AND SHOULD NOT BE RELIED UPON FOR MEDICAL DECISIONS.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FAMILYPULSE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) $100.

WE ARE NOT LIABLE FOR ANY FAILURE TO DETECT HEALTH CONDITIONS, EMERGENCIES, OR SAFETY CONCERNS, OR FOR ANY HARM RESULTING FROM RELIANCE ON THE SERVICES.

9. Indemnification

You agree to indemnify, defend, and hold harmless FamilyPulse and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any rights of another person or entity
  • Any content you provide through the Services
  • Your failure to obtain proper consent from care recipients

10. Termination

10.1 Termination by You

You may terminate your account and stop using the Services at any time by canceling your subscription and deleting your account through the app or by contacting support.

10.2 Termination by Us

We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice. Reasons for termination may include violation of these Terms, fraudulent or illegal activity, non-payment, or extended periods of inactivity.

10.3 Effect of Termination

Upon termination, your right to use the Services immediately ceases. We will delete your data in accordance with our Privacy Policy, except as required by law or for legitimate business purposes. Sections of these Terms that by their nature should survive termination will survive.

11. Dispute Resolution

11.1 Informal Resolution

Before filing any formal dispute, you agree to first contact us at legal@familypulse.app to attempt to resolve the dispute informally. We will attempt to resolve disputes within 60 days.

11.2 Arbitration Agreement

If we cannot resolve a dispute informally, any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be conducted in the English language in the county where you reside or another mutually agreed location.

11.3 Class Action Waiver

YOU AND FAMILYPULSE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.

11.4 Exceptions

Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction. Claims relating to intellectual property rights may be brought in court.

11.5 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

12. General Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and FamilyPulse regarding the Services and supersede all prior agreements.

12.2 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

12.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

12.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

12.5 Modifications

We reserve the right to modify these Terms at any time. We will provide notice of material changes at least 30 days before they take effect. Your continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
